About the Role

This is a broad, commercially focused legal role supporting GSR across transactions, regulated businesses, and strategic initiatives, with a particular emphasis on U.S. corporate and regulatory matters. The Vice President will work across a range of areas, including investments, asset management, broker-dealer activities, commercial agreements, and other matters that arise across the firm.

We are looking for a versatile, deal-oriented lawyer with strong judgment, practical instincts, and the ability to quickly get up to speed on new subject matter. No candidate is expected to be an expert in every area. Success in the role will require intellectual curiosity, comfort navigating ambiguity, and the ability to provide clear, actionable advice in a fast-moving and entrepreneurial environment.

The role will involve drafting and negotiating agreements, advising business teams on transactions and regulatory considerations, and helping the legal function respond flexibly to new opportunities and evolving priorities.

Responsibilities

• Lead and support strategic transactions, including M&A, venture investments, and other corporate matters, from initial structuring and diligence through negotiation and closing.


• Serve as a key legal partner to GSR’s regulated and investment businesses, including asset management, broker-dealer, and CTA activities.


• Draft and negotiate a wide range of investment, client, commercial, and corporate agreements.


• Advise business teams on securities, financial-services, and digital-asset regulatory matters in the United States and other relevant jurisdictions.


• Lead or coordinate regulatory projects, registrations, exemptions, and interactions with outside counsel.


• Provide practical, commercially oriented advice on new products, transactions, and strategic initiatives.


• Oversee core corporate legal functions, including entity governance, filings, resolutions, NDAs, and vendor arrangements, with support from paralegals and other team members.


• Support the broader legal team on emerging priorities and matters outside the role’s primary areas of coverage.

Your Profile

• 4–7 years' post-qualification experience; admitted to practice in New York or another U.S. jurisdiction.


• Trained at a top-tier law firm, with some in-house experience at a financial institution.


• Genuine deal experience — corporate M&A, capital markets, financial services, and/or securities regulation — and comfortable moving across transactional, regulatory, and corporate work.


• Experience with financial products, cryptocurrencies, or blockchain is a plus, not a requirement.


• Exposure to securities law and/or asset management (funds, trading firms) preferred


• Team player willing to cover multiple, shifting business lines rather than a single narrow practice area.


• Comfortable in a fast-paced, flat organization; able to manage a varied workload across stakeholders with limited supervision.


• Strong commercial awareness and project management skills.

At a Glance

• Role: Deal-focused legal support across GSR's venture capital, broker-dealer, and asset management businesses, plus U.S. and international securities/crypto regulatory advice.


• Location: Hybrid — 3 days per week at GSR's New York office.


• Compensation: $200,000-300,000 base salary, plus discretionary bonus.


• Qualifications: 4+ years' legal experience at a top law firm and/or in-house at a financial institution; real deal experience in corporate M&A, capital markets, financial services, and/or securities regulation. Crypto/blockchain experience a plus.
