ABOUT THE ROLE


RootstockLabs is seeking a visionary Fund Manager to architect, launch, and scale an institutional-grade, BTC-denominated investment fund from the ground up. This fund will enable institutional and private Bitcoin holders to unlock yield and manage credit risk through a mixed portfolio of strategies.


By bridging traditional institutional demand and Bitcoin-native yield generation, the fund serves as a trusted, regulated vehicle for deploying sophisticated capital.


As a founding leader, you will own the fund's strategy, portfolio construction, risk management framework, investor relations, and regulatory governance. This is a high-impact, greenfield opportunity to define a flagship financial product in the Bitcoin ecosystem.


The mandate


Objective: Deliver risk-adjusted returns measured in BTC, with principal preservation in BTC terms as the first priority.
Vehicle: Cayman Islands SPC, CIMA-registered, with independent directors and a third-party administrator, auditor and custodian.
Investors: L1 foundations and treasuries, ecosystem funds and selected institutional allocators seeking BTC exposure with yield.
Strategies: BTC-collateralised lending, market-neutral and basis strategies, liquidity provision, and yield on Rootstock and other Bitcoin-aligned venues, within board-approved limits. Directional exposure and unhedged leverage are out of scope unless the board expressly approves them.
Target size: $500 million committed capital within 12 months of launch.


KEY RESPONSIBILITIES


Investment and portfolio management



  • Set the fund's investment strategy, allocation policy and limits, and take them through board approval.

  • Source, diligence and execute positions across BTC lending, basis and on-chain yield strategies.

  • Run counterparty and protocol due diligence, including smart-contract, bridge, custody and liquidation risk.

  • Report performance in BTC terms, with clear attribution by strategy.


Risk management


Build the risk framework: exposure limits, concentration, liquidity buckets, collateral haircuts and drawdown triggers.
Monitor positions daily and stress-test against BTC price shocks, venue failure and depeg events.
Maintain a liquidity profile that matches investor redemption terms.


Investor relations and capital raising


Raise capital from L1 foundations, ecosystem funds and institutional allocators, within applicable marketing and solicitation rules.
Structure share classes, side letters and terms suited to foundation treasuries.
Produce monthly investor reporting and quarterly letters; lead investor calls and annual meetings.


Governance, compliance and operations



  • Work with the board, independent directors, AML officers (AMLCO/MLRO), administrator, auditor and legal counsel.

  • Own the offering documents, valuation policy and NAV process alongside the administrator.

  • Ensure ongoing regulatory compliance, including CIMA filings, AML/KYC on investors and annual audit.

  • Select and manage service providers: custodians, prime brokers, OTC desks and on-chain infrastructure.


Team and ecosystem



  • Hire and lead a small team (analyst, risk, operations) as the fund scales.

  • Act as the fund's senior voice with L1 ecosystems, and feed investor demand back into Rootstock's product roadmap.


WHAT YOU BRING


10+ years in asset management, credit, or trading, with at least 5 years as a portfolio manager or CIO with P&L responsibility.
A track record managing a regulated fund or institutional mandate, ideally $100M+ AUM.
Deep, hands-on knowledge of Bitcoin markets, BTC-collateralised lending, derivatives and basis trades.
Working knowledge of DeFi mechanics: lending protocols, liquidity pools, bridges and their failure modes.
Strong fund governance experience: offering documents, NAV and valuation, audit, and working with independent boards.
Existing relationships with crypto foundations, treasuries or institutional allocators, and a record of raising capital.
Able to meet director and key-person fitness and propriety standards in the fund's jurisdiction, with a clean regulatory history.


NICE TO HAVE



  • Experience with Cayman fund and BVI Investment Management structure.

  • Background in structured credit (tranching, waterfalls) or treasury management.

  • Relevant qualifications such as CFA, CAIA, FRM, PRM, or an equivalent regulatory licence.

  • Familiarity with Rootstock, Bitcoin L2s or merged-mining ecosystems.
